Legal Issues Of Convertible Bonds

With the further development of capital market diversification in China, convertible company bonds play an more and more important role in the course of corporate finance. This paper discusses relative legal problems of convertible company bonds from a legal point of view. It mainly includes the following contents.The first part mainly introduces relative legal provisions and connotations of convertible company bonds, including legal nature of it, and analyses related basic theory.The second part highlights the background and development overview of convertible company bonds at home and abroad, and analyzes the experiences, lessons and advantages, disadvantages in the development of bonds.The third part mainly studies present legal doctrine and legislative principles of convertible company bonds, at the same time, make analysis of and comments on it.. This part mainly includes adoption theory of capital system, strict issuance theory of bonds, protection measures of bond-related interest groups and so on.The final part points out the defects of present legal system in China, and puts forward advices of perfecting relative legal system of convertible company bonds in China. The thesis mainly made use of linking theory with practice and comparatively analytical writing method. The author finds some methods and thoughts to perfect the present legal system through comparing domestic legal system with that abroad.
