The new three board is the OTC market nationwide, mainly for growing, innovative, high-tech SMEs.It is an important foundation for the construction of multi-level capital market in China.From the first half of 2013 so far, the new three board has been a hot topic. At present, the new three board is listing the rapid expansion of enterprises scale, the number of enterprises is showing a blowout situation. In the financial success of financing through directed financing of enterprises,the paper will select W companies to carry out a case analysis.Part of the case first introduced the W company private placement process in detail, then with the basis of analysis of the feasibility of using the financial analysis method of directional financing and financial data were compared found that the issue of directional stock financing can bring many benefits for the enterprise, such as the high profit ability, debt paying ability and operation ability, so as to promote the rapid development of enterprises. Lastly, the paper will analyze the case with application value, and it can be used as reference to other enterprises financing.The article finally draws the final conclusion:the private placement of the new three board has the advantages of fast and convenient and flexible, can bring many benefits for enterprises financing. Finally put forward some suggestions, such as making full use of new financing channels, strengthen the three parties involved in their responsibilities, strengthen the market financing function and strengthen the management of the board internal stratification and difference.
