The NEEQ has many financing modes and the Directional Add-issuance get the favor of the SMEs and has become the main the financing way by its loose system and simple, efficient, quick process solves successfully the small and medium-sized enterprises listed before melting, the financing problem. The Directional Add-issuance successfully solved the financing problems of SMEs.This paper firstly reviewed the theoretical basis of directional financing research at home and abroad, secondly analyzes the NEEQ development situation,financing way, characteristics and process of private placement. The third,with three directional issuance of JTD as case study, Analyzed the company three directional issuance scheme design and implementation, risk control in the process of financing And effect after the purchase. Followed analyzed the promotion of by directional issuance successfully of JTD and received better financing effect.In the end, according to the research results of this paper,puts forward the suggestions for the future development of the NEEQ.In this paper, through case analysis, found the reasonable capital demand,right time point, reasonable pricing, strictly implement the internal control system, comprehensive and timely disclosure of the enterprise important matters and efficient use of raising money is very important for private placement and financing.
