In recent years, along with the deeply reforming of the finances in all countries and economic globalizing, the international organizations and marketing nations have been improving corporate governance structure. The article analyzes governance structure of Shandong Luneng Mount Tai Corp. In the course of research, the author selects the governance structure conducting index system of Chinese listed company released by governance research department of Nankai University in 2003.For the research of corporate governance structure, Chinese and foreign scholars have following three kinds of viewpoints and five kinds of theories. Namely, the contract viewpoint, supervising and encouraging viewpoint, system arrangement viewpoint; the contractual theory, the separation between ownership and control, ownership theory, related benefits theory. The writer points out that corporate governance structure of this article is the arrangement of series of systems among the company shareholders, the board of directors, the board of supervisors, and managers.In the ownership of share's structure, national shares are higher than other and can't circulate in a short time, the organization investors hold lower shares. Company shareholders, the board of directors, the board of supervisor and corporate managers, can run the company normally according to 《Law of Company》 and 《Article of Company》 , but exist some question, such as can not protect the medium and small shareholders' benefits effectively, board of directors' independence is not strong, the function of board of supervisors is limited etc. The salary of year not only is simple in form, but also lacks the farsighted plan. The published information is basically fair and integrity, but it can't make investors get the related information in time.In addition to reforming share's structure steadily, still needs to grow the organization investors, and leads the workers into holding stocks. The board of directors is the core of company governance, strengthens its function and independence, and particularly promotes the construction of independent director institution.
