| Family business in our country existed because there are a long tradition of Confucian culture and imperfect market economy environment in China. With the external environment improving, family business plays a more and more important role in promoting economic growth and reducing unemployment, and meanwhile family business owners yearn for growing in size and strength, but the problem to the interior governance structure of family business has become the biggest obstacles to enterprise development. This paper will research the interior corporate governance structure of family business.Based on the modern enterprise system, the paper studies the problem of the interior corporate governance of family business by property right, management and organization, and analyzes need of our internal governance structure of the family business "stakeholder model", and gives some advices about improving our internal governance structure of family enterprises.Introduction from the first part of the cultural and economic aspects introduced in the country to long-standing family business reasons, then that family enterprises in the economic life in China playing a pivotal role, and finally a brief description of the current situation of China's research on family business issues.The first part is the internal governance structure of the family business overview. First to clarify the definition of family enterprises and internal corporate governance, and the definition of internal governance structure at the family business and introduced in the internal governance structure to the family business experienced three stages, indicating that the direction of our family business is beyond the family. Then briefed on the internal governance structure of foreign family enterprises is mainly used "shareholder primacy model" and "stakeholder model".
