June 19, 2009, the Ministry of Finance People's Republic of China, the State-owned Assets Supervision and Administration Commssion of the State Council, the China Securities Regulatory Commssion and National Council for Social Security fund jointly issued the notice of "Implementation Measures on the transfer of part of the state-owned shares to the National Social Security Fund in domestic stock market " (hereinafter referred to as " Implementation Measures "). It is indicated that the Implementation Measures will take into effect, and the state-owned shares will be transferred to the National Social Security Fund Council held in the domestic stock market where the conditions required are met (hereinafter referred to as"The transfer of the state-owned shares"). Although it can enhance the strength of social security funds, to further improve China's social security system, and to ease the pressure on the capital market result from the lift of the ban distribution of illiquid shares, but there are a number of urgent issues need to clear in the actual operation process.The writer hopes to make a comprehensive analysis of the Implementation Measures including the following parts:a) Applicable scope of the transfer of the state-owned shares; b) How to identify the state-owned shareholders; c) Issues in the protection of the state-controlled status; d) The social security funds how to participate in the corporate governance of the listed companies; e) Issues of how to balance the interests between the central and local government; f) Issues that the state-owned investors how to compensate the non-state-owned investors; g) The exemption scope of the transfer of the state-owned shares. In addition, the writer also hopes to evoke further research by providing his proposals towards the said issues.
