To make effective use of capital market, more and more mainland enterprises begins to go after being listed on the stock markets overseas, also bring along a large of legal issues. So, it is of important theoretical and practical significance to study the abovementioned issues.The paper makes a tentative study on the legal issues arisen in the process of listing in Hong Kong for mainland enterprises.Firstly, the paper described the meanings, strengths and basic procedures of being listed in Hong Kong, as well as conditions, form, basic procedures and the advantages and disadvantages. Consequently, the paper emphasis the mode of making a shell of red chips to list. Secondly, the paper introduce the relevant laws and regulations on listing of both mainland and Hong Kong. Finally, the paper make a special study of such issues as corporate governance, disclosure of information, return investment and tax. The paper makes a final conclusion, that it is a sublimation and transcendence for enterprise to develop a particular stage, of which to make uses of capital market. The paper points out that going overseas for listing is a reasonable decision for enterprises. The government should guide actively and regulate rationally. The enterprises must abide by the laws and better the corporate governance in order to have a sound and steady development in the process of listing in Hong Kong.
