Company Registered Under The Legal Issues In The Perspective Of Market Supervision Law Studies

With the development of market economy, company has become the main organization of market economy and the governingly commercial subject in the whole world. The registration of the company is the main method to protect economy order. In China, the system of company registration is a system that, depending on the application of establishment, termination or the other, AIC checks and registers the relative things. In China, this is a compulsory system.In 2005, after the revise of corporation law, the mechanism aimed on protecting the interests of minority shareholders has been strengthened. Many practical problems, such as procedures missing, absence monitoring, still exist, resulting in many legal proceedings. Thus, in order to solve these problems, based on analyzing the causes of the existence of the problems, I borrow some successful foreign experiences and try to find the solution of these problems, and then make some suggestions to our corporation law, hoping to benefit our legislation of corporation law.This thesis consists of four parts. The first part is about the general issues on the registration of corporation. This part includes two smaller parts: 1. the corporation registration itself and its concept as well as the market supervision, 2. the management system of corporation registration. Based on the above discussion, I then provide my understanding about corporation registration system, which in turn lay the foundation of solving the practical problems.The second part is about the practical problems. In this part, I quote many existing cases which reflecting the missing of market supervision through registration of establishment, registration of alternation, yearly inspection and registration of cancellation. I analyze the problems and try to solve the problems by existing laws. The third part is about the successfully foreign experiences. This part starts from stages of the development of corporation registration, study the law of its development, and then analyze its advantages and disadvantages. The fourth part is the suggestions of improving our corporation registration system to meet the demand of market supervision. Aiming at the problems that discussed in the second part, I provide my personal suggestions: 1. establish the careful investigation principals of corporation registration; 2. strengthen the mechanism of yearly inspection; 3. improve the system of registration of cancellation; 4. enhance the file management system of corporation registration. I hope this thesis can generate the concern in jurisprudential circle to solve the existing problems.
