In the current Corporation Law of China does not adopt the concept of contribution in kind, however, as a system of investment, contribution in kind does exist in the practice of a company's incorporation. Contribution in kind is establishment of both the cost savings and the facility to the investors. So, with the development of our country's economy, as a kind of contribution manner, it is being applied more and more in the real life. Contribution in kind is different from cash contribution, because of its uncertainty and ambiguity is easy for investors to use and create a false prosperity and economic growth of the bubble. However, though the company law carried on revising, it still exists a series of problem in the system of contribution in kind now. Based on this background, this paper is a further matter and and forward-looking for the study of contribution in kind.This thesis, which is divided into three parts, related to the discussion of contribution in kind. The first part through a comprehensive analysis of research methods mainly to discuss the basic overview of contribution in kind, including including its concepts,scope and the standard. In addtion, it also includes the the feasibility analysis of some specific subject matter is material to its funding; The second part deals with some systems of contribution in kind,such as the proceedings, performance, flaws of capital and so on; In the last part, based on the analysis of the contribution in kind in our current law, I offers some advice on the contribution in kind system for the future in China, such as relaxing the scope of the subject matter; Striating the procedure requests; perfecting the contribution responsibility system; Increasing to establish the systerm of succession of property and after the event's establishment and so on.
