The history of mankind is the history of pursuit of happiness. The pursuit of happiness that is the essential difference between men and animals, and not only that is men's ultimate goal, but also is the common pursuit. Traditional right about the pursuit of happiness and freedom is a kind of top-down political reform. In 1970`s, with NGOs emerging, the role in the protection of the rights of citizens are becoming more and more important. Actually, quite a lot of NGOs played a very important role in the protection of vulnerable groups in society. In the atmosphere of the constitutional, freedom of association of citizens, it is no doubt that legal persons and social groups have the right of freedom. On the one hand, Constitutions in many countries have explicit provisions on the rights of social group. On the other hand, social organizations, especially for defenders of weaker of NGOs and community groups, including the survival and development rights have not been adequately protected; the right of association of social groups is far off into practice.It should be noted that the legal protection of freedom of association, protection of the legal status of NGO, not just a legal issue, which means the law is not the only way, but does it is the most effective way. Nowadays, in china, aiming to achieve a better system of legislation and management, many method should be followed .First and foremost, knowing about the status; what's more, it is essentional to present the reasons for the existence of social problems about NGO; that's follow, some advices and comments about improving the role should be considered. In this article are also mainly concentrated on the way. The article consists of four parts: Chapter one focused on empirical data, and summarized to the author's detailed research and interview data and case-based, aiming to reflect the current number of NGOs in current times distribution. Chapter two discussed some problems. First of all, the unclear legal status and registration requirements are far more stricted in the registration system; Then, the article analyzed the problem in economic management; lastly, denoting that he social evaluation about the NGO; Chapter three give some advices about how to achieve a top on improve management, supervision about NGO. Chapter four summarizes the author's conclusion, which means, institutional perfect should be considerated.
