Our cooperation law takes statutory capital system, so many rules against the foundation of venture capital firm and start-up enterprise. But venture capital needs more comfortable capital system,so we can consider about our national conditions to introduction Compromise capital system to fit venture capital's development.It is the supports to investment tools from the cooperation law that make venture capital going on smoothly. Because preferred stock and Convertible Bond can solve profits allocation between subjects well,they becomes the widely used investment tools in international venture capital. But the provisions of our cooperation law lack of preferred stock,and the provisions limited the issued subjects of Convertible Bond to public company.
