Related party transactions happens frequently between the parties for commercial trade in China's economics. This paper focus on the unfair related party transactions, for the fair ones do no harm to our market, to the opposite, the unfair ones will do badly effect if we indulge it, so basis on this situation, we need a effective law to stimulate the unfair ones is in very need, and it must be practical in our economical life.In2007, the accounting standards for enterprises, give it concept on the related party transaction, and besides this, the Securities Law^Tax Law also has some legal provisions on this, but the company law,however as the basic law of the companies commercial acts, it's not that enough. I think the unfair party transactions can be governed according to the governance of the companies, if such work has be done, the problem can be prevented forehead, also can do great help to our economic market building.According to the consideration of the facts and theory above, my attention is focused on the company law, and in this territory, the problem are been discussed.This paper has three chapters: Chapter one introduced the concept,types of the related party transaction, willing to give a definite way to define it, and tried to find the basic reason why such phenomenon happens.Chapter two comparatively introduces developed countries such as the UK, America, and Japan, in order to find the disparity for China and see how we can improve, and willing that positive significance can be gained.The third chapter summarizes how we can made our company law better on the regulation on the related party transactions,...
