A director who leaves his post becease of serving in a company,needing for the interests, is prohibited to work for another company which is as same as the original company. Company Law only provide the obligation of non-competition of director,however, don't provide the obligation of non-competition of director who leaves his post. But there are a lot of dispute between the original company and the directors.On faith and the reasonable restrictions competition,the director who leaves his post must bear his obligation non-competition. If the original company has the human resource investment, trade secrets, then the director who leaves his post must bear his obligation of non-competition. The obligation of non-competition includes behavior of the limit, behavior content restrictions, time restrictions, behavior of frontiers.The model of the obligation of non-competition should be adjusted with legal model and the contract model.
