Nowadays, it's almost accomplished to transfer the economy from the planned to the market in China, however the reformation in state-owned enterprise has not thoroughly transform the situation, leaving the management structure being out of integrity and management mechanism being governmentally and planned-economically colored in a certain way. For instance, absolute share holder phenomenon has generally existed, the three boards have not given play into checks and balances, and professional manager market is still out of integrity. The objective of this thesis is to discover consummation at the management structure and mechanism in state-owned enterprise.With the analysis in certain aspects and angles like board of directors, board of supervisors, managers, this thesis point out the problems of state-owned enterprise management, which have not resulted in vicious consequences for the enjoyment of monopoly and certain protection. Nevertheless, the author himself reckons that the existence of the problems can't be denied for none vicious consequences having occurred.Through some research, this thesis goes to the conclusion that the management structure is urgently to be consummated in the ways below. First, state-owned assets supervision and administration organization should legally regulate the personnel qualification in the three boards. So far, there is Law of Corporation fit for the board of personnel in state-owned enterprise. However, whether they can hold a concurrent post or double as managers is not stipulated explicitly. That's why there should be concrete regulation to confine the commutative pluralism. Second, professional manager is the scarce recourse in our country and it should be cherished by developing the professional manager market. The manager of state-owned company is often internally recruited, which could easily result in dislocation and short-timed action of manager. Third, state-owned enterprises'reformation should be tangibly executed in internal supervisory mechanism, internal auditing organization, board of supervisors, and independent board of directors, to make the organizations and its personnel function sufficiently.
