Since the commencement of economic reform and opening up, China has gong through significant economic and social changes, and the socialist market economic regime has been established. The competition of market economic is essentially the competitions of enterprises, but to a certain extent, the competition of enterprises is those between their administrators. How to arouse the enthusiasm of a administrator is a important problem in enterprise's reform.Salary incentive is the core issue of senior executive incentive, how to design senior executive's salary to make sure it reasonable and scientific, to incentive and restrain senior executive's behavior, will be determine the future development fail or success.The articles consider the actual condition of state-owned listed enterprises. To take Competency Model as the analysis frame, attempt to discover the factors to concern the senior executive's salary, to build a comprehensive evaluate model to decide the senior executive's salary. This paper includes 6 chapters:Chapter 1 is the introduction of this paper, this chapter introduces the background and value of research at first, and then introduce the present research situation at home and abroad, and define related concepts, and the research method and research framework.Chapter 2 is the theoretical of this paper, it integrates some related theories such as Competency Model, agent-principle theory, human capital, salary compensation theory, etc, it answer the significance and necessity of executive compensation, this is also the reason when we study executive compensation.Chapter 3 analyzes the factors influence the executive salary from micro and macro circumstance, to make a foundation for value the executive competency.Chapter 4 is the main body of this paper, it analyzes the mechanism of executive compensation at first, and then build executive competency comprehensive evaluate model, to weigh the factors use Analytic Hierarchy Process, to access the factors use Fuzzy Logic, to decide the Executive competency comprehensive evaluate factor, to evaluate the enterprise's value use Free Discounted Cash flow Model, then to get the executive compensation.Chapter 5 use the executive competency comprehensive evaluate model to design the executive's salary. And then use this model to analyze a company.Chapter 6 is the brief summary of this paper. It concludes and sums up related conclusions, and introduces the paper's localization.
