Study On Legal System Of China’s Private Equity Fund

Over the past five decades, private equity fund has become the third largestfinancing market which second only to bank credit and IPO. As the product of industrialand financial innovation, private equity fund promote the world’s economy powerfully.However, China’s private equity fund is facing the problem of lack of legal system,the existing laws and regulations have low legal hierarchy which only set up aframework for private equity fund and are not used to regulate private equity fundspecifically. Also, there are some conflict when the application of law. This paper startwith analyzing general principles of private equity fund, then investigate the Relativelegal system of other countries and regions, by analyzing the deficiencies of China’srelative legal system, and finally put forward the suggestion which could consummateChina’s legal system of private equity fund. This paper is consisted of five parts:Part One "Introduction" introduces the meaning, research status at home andabroad as well as research methodology of study on private equity fund legal system.Part Two " Private Equity Fund and it’s legal system"introduces the concept,characteristics, organizational form, value of private equity fund and the framework andvalue of it’s legal system.Part Three "Research on Foreign Legal System of Private Equity Fund " analysisthe legal system of private equity fund in US, UK and Hong Kong which summarizesthe beneficial experience in legislation.Part Four "The Empirical Analysis of China’s Private Equity Fund and the LegalSystem" analysis the development course and the existing legal system of China’sprivate equity fund, then finds the main problems of China’s relevant legal system.Part Five "Consummate the Legal System of China’s Private Equity Fund"discusses the approach to consummate relative legal system.—enact the Private EquityFund Law which specialized for regulating private equity fund and make somesuggestions for consummate the supporting system.
