The author wants to get much elicitation by studying the LLC of Americato table a proposal for our own system of corporation.The part one has discussed the background of arising and the history of development.The LLC of America had been created to cover the shortages of the previous forms forthe little investors, with the amending of ULLCA (UNIFORM LIMITED LIABILITYCOMPANY ACT), the system of LLC have be perfect increasingly.The part two has described the material rules of the LLC by studying the ULLCAand the revised act.The third part has used the comparative analysis method to study the LLC ofAmerica, comparing with the LLC of continental legal system. The major goal isanalyzing the causes of difference such as tradition of legal and the way to legislation.The part four has summarized the superiority from different angles basing on theabove-mentioned practical rules and the achievement of comparing.Finally, also the most important part is reaching a conclusion that our country shouldnot introduce this corporation forms in the legal system. At present, the only feasibleway for our country is drawing lessons from the LLC of America and improving theexisting legislation. It is the primary purpose of this paper.
