Research On The Compatibility Of Independent Director And Supervisory Board In Corporation

The Company Law of the People’s Republic of China has set up independent directorand supervisory board at the same time. As everyone knows, in the practice of thecompany the supervisory board system has many defects. And, we still don’t knowwhether the independent director can improve the performance of the company or not. So,we must take the necessary measures to improve the two systems.About the two systems’ actual effect, it’s difficult to say which one is more perfect,but we can find which one is more suitable. We think, the independent director system andthe supervisory board system have no compatibility, and there is no need to be trying tomake them compatible. We only need one of them. In the later legislation, as thecorresponding improvement of independent director and supervisory board, we shouldhave the right to choose any one of them.
