The United States is the birthplace of the corporate social responsibility theory,the theory that the company in the pursuit of maximizing their own interests at thesame time, to take into account in addition to shareholders’ than other people’sinterests, such as company employees, creditors, suppliers, community and so on. It’spurpose is to solve the problem in the development of the company caused byenvironmental pollution, abuse, insider trading and other employees’ problems, inorder to perfect the company as a social organization to social influence.With the idea of the corporate social responsibility growth, the traditionalshareholders primacy concept to be challenged, stakeholders of a company operatingthe important content, the traditional company governance faces to "the commongovernance" mode of the structure transformation, and the staff and workers of thecompany as the most closely interested persons, which should be the implementationof the social responsibility of company entry point. This article from the perfectcompany administers a mechanism to encourage employees to participating incorporate governance point of view, tries to construct a set of complete and scientificcorporate governance, strengthen the company social responsibility. This paper isdivided into four parts, the main contents are follows:The first part generally theoretical interpretation of the corporate socialresponsibility. As the corporate social responsibility connotation and denotation hasbeen argued for a long time, this chapter through the review of the corporate socialresponsibility in the background and the development at domestic and abroad,compared to the corporate social responsibility in different definitions, and thecorporate social responsibility on the legitimacy and necessity are elaborated, tryingto eliminate the misunderstanding and corporate social responsibility exclusion.The second part is about the relationship between the corporate social responsibility and corporate governance. The company shareholders’ meeting, boardof directors, board of supervisors about the company daily operation, make adevelopment of the fundamental policy, in to the company into the idea of corporatesocial responsibility, urging the company management to focus on public interests isthe best way to implement the social responsibility of the company. This partintroduces the corporate social responsibility and corporate governance, analysis ofAmerican, European countries in improving corporate governance implementation ofcorporate social responsibility in practice and experience, listed our current" companylaw" in corporate governance and the corporate social responsibility of the relevantprovisions, combined with Chinese legislative model and suggest that theintroduction of Europe " the system of worker participation", make our country fromtraditional shareholder orientation mode to the interested person" commongovernance" pattern evolution, strengthening the corporate social responsibility andthe realization of.The third part is about the corporate social responsibility and the system ofworker participation in corporate governance. This part introduces the system ofworker participation in western countries in the aspects of system construction andpractice, summary our nation about the worker participation in corporate governancein terms of the relevant legislation and practice, summed up Chinese legislativedefects and loopholes in the system and the western countries undertake comparativestudy, and the right of employees’ participation of necessity undertake an analysis, tofind an adaptation of Chinese workers to participate in corporate governance andimprove corporate governance mechanism approach.The fourth part of perfecting the system of worker participation, promote therealization of the corporate social responsibility. In the view of perfecting the systemof worker participation on strengthening corporate social responsibility and the greatsignificance. This part analyzes the current company law system in the system ofworker participation in terms of the deficiency of regulations, combined with thewestern countries in the field of successful experiences, put forward to get used to thesituation of our nation’s legislative proposals, particularly in view of our nationpresents the company law on workers the board of directors, board of supervisors, legislative loophole out one by one and the reform direction and measures, in order tohelp China to improve the corporate governance and help the company achieve itssocial function, maintain the interest groups’ rights, for our nation’s socialist economydevelopment escorts the emperor convoy.
