Modern Anglo-American commercial law adjusts all the legal relationships aboutbusiness transactions, in which freedom, convenience, security and good faith are thefundamental principles. It has a complete architecture, including case law, statute law andother legal sources. In common law, Modern Anglo-American commercial law plays animportant role which can not be replaced. It also makes a deep impact on mixed-systemcommercial law, civil commercial law, and international commercial law in many aspects,such as the theories, law principles, origins, rules, etc. Factors for the formation of theglobalization trend of the modern Anglo-American commercial law are diverse, includingits own institutional strengths, the Anglo-American country’s own economy and politicalpromotion, as well as the global influence of English. China’s commercial law learns a lotof advanced content form the modern Anglo-American commercial law, but there are stillsome inadequacies. Besides of inadequate preparation, it sometimes does not fit with thesocialist market economy and pay as much attention to the law procedures as the entities.To improve China’s commercial law system and promote the process of globalization, weshould introduce the rules and content of modern Anglo-American commercial law intoChina on the basis of understanding modern Anglo-American commercial law fully andserving the development of market economy, and attach importance both in the proceduresand entities.
