With the continuous growth of economic globalization, the Chinese real estate will also inevitably into the real estate wave of globalization. Real estate development, rapid economic growth, the world’s most populous nation, China has an extremely important strategic significance. With the pressure of the government unprecedented control efforts in the property market continued to increase, and the continuous tightening of bank mortgage policy, China’s real estate companies are experienced in financing. In this case, the emergence of real estate investment trust for real estate companies undoubtedly brought new channels of financing and a new hope. While the rapid development of real estate investment trust, we should also see that real estate investment industry development in China is still not complete, market risk. China has not yet specifically norms for real estate investment trust, relying on existing law two rules (the "Trust Law","trust management" and "Trust Company Capital Trust program management approach"), adjustments have been difficult to adapt to the development of real estate investment trusts, real estate investment trust laws and regulations urgently improve and perfect.Therefore, based on the actual situation of our country, by drawing on real estate investment trust system of the United States and some Asian countries and regions, China’s real estate investment trust set up to run, regulatory, tax until the termination of the real estate investment trust a series of legislative proposals, hoping to make a modest contribution to the development of China’s real estate investment trust to a force.The main part of this paper is divided into four parts.The first part of the real estate investment trusts (REITS) legal system overview, that introduced the concept of real estate investment trusts and Relevant Concepts, two legal and real estate investment trust relationship respectively, were analyzed.The second part draw on international real estate investment trust. The United States as a real estate investment trust industry’s most developed countries, in this part of the U.S. real estate investment trust system in a more detailed introduction, and the United States in the development experience of the real estate investment trust. In addition, we are still this part of Japan, Singapore, Hong Kong and Taiwan real estate investment trust system, the system of real estate investment trusts, and Asian countries and regions were compared with the relevant provisions of the United States.The third part mainly introduces and analyzes the status quo of China’s real estate investment trust and legal obstacles. This section first describes the development status of China’s real estate investment trusts and legal regulatory status quo, and on this basis, further from the trust law, real estate law, securities law, four aspects of the tax laws and legal faced by China’s real estate investment trust obstacles.The fourth part is the proposal of building the legal system of China’s real estate investment trust. This section first of all improve the comprehensive laws and regulations and the introduction of special legislation as soon as possible to improve China’s real estate investment trusts related legislative proposals. Then, and from the establishment of China’s real estate investment trust, termination, operation, regulation and taxation five aspects, and put forward concrete proposals to build on China’s Real Estate Investment Trust Law.
