China’s private equity starts late that international private equity fund entered in china in2004. After that the local private equity gained quick development of which size and performance is astounding.In our country, private equity market both have foreign private equity fund and the local RMB private equity funds. Private equity fund is a necessary consequence of the development of capital market. Although the government may put a lot attention on the PE, but the result is not perfect!The reason may have a lot possibilities. But the most crucial issue is lack the whole system. Especially lack the law of ending. So this paper try to establish the capital ending system. Especially the American and Germany, after have been a comprehension about the private equity of the advanced capital market, we have concluded and summed up in favor of our market.Fourthly, depending on the deeply analyzed of the legal obstacles in the developing process of private equity, the author came up the own suggestions according to different exit ways.
