Chinese stock market has achieved rapid development since its inception. The stockmarket plays a significant role in resource optimization. Along with the expansion ofmarkets and the diverse variety of transactions, the friction between the subjects of thesecurities business is increasingly rising. Securities Litigation, as a last resort to resolvesecurities dispute, naturally be deemed the best way to access judgment for those peoplewho think highly of the litigation. However, in China’s judicial practice, securitieslitigation doesn’t have an expected effect on regulating the stock market. To find out itsreason, the main risks of securities litigation’s failure originate not only from the factors ofjudicial policy, but also with the lack of systemic research of the Securities Litigation.Therefore, this thesis systematically analyze the Securities Litigation from the perspectiveof a typed tendency to find out the similarity regulation which also be used in thetraditional litigation, moreover, to find out Securities Litigation’s special procedural rulesto promote Securities Litigation development.The first part of this thesis mainly introduces the securities disputes, the securitiesdispute resolution mechanism as well as the concept and characteristics of the SecuritiesLitigation. The second part discusses the basic theory of Securities Litigation, includingtypes of suit and litigation, the concept and classification of Securities Litigation type, andthe meaning of stylized Securities Litigation. Then, the third part of the thesis describes theprocess of China’s securities litigation development in a brief overview and comment onthe application status quo of China’s securities litigation. The last part, in view of thecurrent securities litigation status, the author puts forward the construction factors shouldbe considered in the classification of Securities Litigation, furthermore, the author dividesthe securities litigation into securities confirmation litigation, securities fraud litigation, thesecurities contract litigation, and discusses their concepts, requirements of litigation and trial rules.
