At the late of stage of the Qing Dynasty and The republic of China commerciallaw, is the important part of Chinese legal modernization,which is the first attempt tocommercial law legislation in China’s modern history,and have a profound effect onlater development of the commercial law.The commercial legislation activities is athrough large-scale amendments and is a developing and perfecting process,whichbegan in the late qing dynasty, launched in the early years.Commercial law, therefore,in each stage of development during this period has different characteristics andsignificance.By comparing the commercial law,the article has five parts.The first partelaborated the commercial law of late qing dynasty and The republic of China of thelegislation achievements.The second part from the perspective of the legislativecontent, experience and technology, in commercial law.The third part from thebreadth and depth of legal transplantation, which compares the commercial law.Thefourth part of article Study the implementation of commercial law,which has carriedon the contrast. Include: implementing agencies, the concrete implementationsituation, etc. The fifth part of the late qing and early republic comparison has carriedon the overall evaluation of the commercial law.Based on the present material and with the way of the knowledge of history andlaw.Form history and law,the paper makes comperhensive description and analysis ofthe commercial law that is at the late of stage of the Qing Dynasty and The republic ofChina.So as to achieve a rather all-sided understanding.
