Some Issues Of The Sole Proprietorship Enterprise Law Research In China

Individual proprietorship enterprises are an important part of themarket economy. Rule of law and the market economy is essentially economic,in order to better development of China’s market economy, we must improveour individual proprietorship enterprises to establish a legal system.January2000, China’s "sole proprietorship Law" to the development of anindividual proprietorship enterprise establishes the legal basis forChina’s socialist market economy, making it one of the main important.Individual Proprietorship Enterprises owned enterprises for the norms ofpersonal behavior, to protect the legitimate rights and interests ofinvestors and creditors, and maintain social and economic order, promotethe development of individual-owned enterprises, and promote theprosperity of the socialist market economy, has played a positive role.However, due to "personal owned enterprises Act," introduced a relativelyshort time, but also by various factors, of the existing provisions ofthe legal system failed to fully address the many individuals ownedenterprises practical problems, in practice, also revealed some not easyoperation links, which indicates that there are still some worth itsperfect place. This paper summarizes the individual-owned enterprises andthe emergence and development of an individual proprietorship enterpriselaw historical evolution to explain our sole proprietorship law basiccontent; Law of Personal owned enterprises to analyze existing problems,including the establishment of conditions for unlimited liability, business scope, agency relationship, transfer and inheritance,liquidation legal systems; Meanwhile, the extraterritorial individualproprietorship enterprise law to be examined, comparative study, whichare detailed the United States, France, Germany and Japan, fourrepresentative case of State-owned enterprise Law; and against the lawof an individual proprietorship enterprise problems, proposes to furtherimprove China on Individual Proprietorship Enterprises suggestions.
