Corporate governance is a both old and young field. In the mid 1990s, although commercial banks as a word frequently relates to corporate governance together, but more from the angle of general corporate governance, mentioned general enterprise from commercial bank loans hard budget constraint characteristics and unique bankruptcy system to managers is different from equity pressure, thus giving the commercial banks in the unique position of corporate governance.But in the 1997 Asian financial crisis, people found the vulnerability of commercial banking system with the corporate governance of commercial bank. Therefore commercial bank itself is the object of corporate governance. As a turning point, commercial banks become the object of corporate governance analysis.Because of the special status of commercial banks in China’s, commercial banking reform became the core and key sector. Especially after China joined WTO, the commercial banks of China will face the fact with the competition with foreign banks. How to construct a set of perfect commercial banking company governance mechanism is the key of resolving the problem.This paper based on the interests of the depositors’perspective of the protection of commercial Banks in China, to study the corporate governance. This article is divided into six parts.The first chapter is subject to the introduction, the purpose and significance of the background, the topic, this research method and the frame, articles starting point and the main innovation points are illustrated. The second chapter is literature review of relevant introducing theory. The third chapter is to the particular analysis of corporate governance of commercial bank in China. The fourth chapter is the protection of commercial bank depositors to international case studies. The fifth chapter analyzes the problem in protecting the interests of depositors in present China. The sixth chapter is to build up the company governance mechanism to protect the interests of depositors based on the analysis of the previous chapter.Since the author is limited in knowledge structure and theory analysis, there may exist many demerits in this paper; some research to some point is not deep enough.
