Corporate Governance And Protection Of The Rights And Interests Of Minority Shareholders

The shareholders are main forces on the stock market. To protecting small and medium shareholders is a premise to stabilize the capital market. It is also an objective of stock supervisors. A series of action have been carried out to protect small and medium shareholders. With the development of stock market and thorough reforms, a lot of examples emerge harming small and medium shareholders. Now the researches have important real significance.This thesis focuses on the small and medium shareholders.Based on literature review, the thesis makes a systematic study on the characteristics of the harming behavior on small and medium shareholders. It reveals the reasons of harming behaviors on large shareholders and point out that the protection on small and medium shareholders is weak. At the end, this thesis bring up some suggestion to solve these problemsThe structure of this paper is arranged as follow:Chapter 1 is the introduction of purpose and method of the study.Chapter 2 mainly focuses on the latest and most important results carried out by research at home and abroad.Chapter 3 is about the harming behaviors on large shareholders.Chapter 4 revealed to the cause of the shareholders’ equity.Chapter 5 analyse the reform of the stock segmentation. The investor protection is facing new challenges.Chapter 6 put forward some countermeasures solve the problems above. It may improve the structure of equity and boost the perfect company governing at internal government aspect. It should increase the cost of violation at external government aspect.Chapter 7 is the conclusion and forward of the study. In the chapter, it also points out the potential defects and topics in future.
