Listed company’s core employees not only are the company’s most creative human capitaland the most important driving force to enhance corporate value, but also are the unique subjectof experience, knowledge and technology. After the financial crisis, the new features of theeconomic operation and the status of scientific and technological innovation have becomeincreasingly prominent, which resulted in more intense competition in world talent market. So,how to keep and attract core employee becomes the major problem that plagued the developmentof enterprises. Based on the basic principle of stock option incentive, this article put forward tovirtual stock option which is applicable to incentive core employee in listed company. The articlealso introduced the quantitative methods of human capital. Then according to the value of humancapital the method could determine a share of residual share of core employee in the stock optionplan.The paper involves five parts. The first chapter is the introduction which presentsbackground, significance, research status, research contents, technical line and key issues to beresolved. The second chapter is the theory base of stock option incentive. It mainly introducesthe basic principles and effect of stock option incentive, and compares different incentive models,which lay theoretical foundation for the following chapters. The third chapter is the constructionof framework and model for core employee in listed company. First it defines the core employeeof listed company and analyzes this group’s excitation characteristics. On the basis of which itput forward the virtual equity incentive mechanism for core employee in listed company. Thefourth chapter is the case application of stock option incentive for core employee in listedcompany. According to the situation and problems in a company core employee, the authorapplies the design scheme. The fifth part is the conclusion and prospects of the paper which alsopoints out the inadequacy of the paper and several trends for future study.
