In this paper, the core contents include the overall impact of treatment effect on venture capital participation in the internal governance, and the impact of participation on the level of corporate governance whether there were differences, however, on this basis to find the best participation way. First, from the corporate governance theory perspective to ascertain the problem on the impact of China’s corporate internal governance mechanism; Second, analysis the subjective dynamic and objective action due of venture investment in China to participate in corporate internal governance; third, explore the Venture capital in China on enterprise internal governance mechanisms; Finally, through the above analysis and the actual situation of China’s venture capital, to find the target model of venture capital in China to participate in corporate governance mechanisms, and make relevant policy recommendations.In this paper, the main research methods consist of the combination of normative analysis and empirical analysis, and static comparative analysis, and use them to analysis the impact and effect of the venture capital to the internal governance mechanisms, in order to perfect reference for the further development of China’s venture capital.Through the investment of the process and the effect for venture capital involved in the corporate governance, we have the conclusion:(A) After venture capital in Chinese participate in the internal governance, the internal governance mechanisms is still flawed.(B) The participation of venture capital has little effect on the whole level of internal governance.(C) The participation of venture capital has no significant effect on its performance of the enterprise internal governance.(D) Overall, participation in the Board has the greatest effect on directors of the invested enterprise internal governance.
