In recent years, with the central enterprises as the representative of the state-owned enterprise annex to recombine tide, has been on the electric power enterprise especially large power group influence. The five major power groups represented by the large power generation group, have a voluntary or forced to increase annex to recombine strength, accelerate M&A schedule, do large-scale, vying for power industry front row position. At present, China’s power industry is in the development and transformation and strategy in the transition period, can be said to be "danger and machine coexist". Power industry has the good development opportunity, while facing problems and difficulties which highlighted. Therefore, large power group in merger and reorganization must pay attention to the problems, stand in strategic height on the merger and reorganization of the object and the method of examination.This paper takes the electric power five large group of China HD Group of DDDF east of the new energy limited company to hold the JS energy Limited by Share Ltd shares all of the M&A case as the research object, on the M&A process undertook elaborating, analyzed the problems that exist in the process and discovered the problems exposed root knot place, finally proposed the merger of three suggestions and countermeasures.In this paper, the author aimed at analyzing the case of China HD Group of DDDF east of the new energy limited company to hold the JS energy Limited by Share Ltd shares all, bringing up to follow rationality, honesty, maneuverability, comprehensive, systematic principle in the mergers and acquisitions, improving the performance appraisal system, the dual control system is introduced into the strengthening of the merged company financial, human and other aspects of the whole strategic management integration, strengthening enterprise culture construction, common culture value system, providing useful help effectively for other enterprises, who have to pay attention to the problem in mergers and acquisitions.
