The Research Of GOME Company Corporate Governance Based On The Stakeholder Perspective

The research about stakeholders participate in corporate governance has attracted more and more attention and concentration. The scholars from all over the word are not only actively research and perfect it in theory, but also for the empirical research in practical application. Based on the organic combination of theory and practice research, scholars break through the original concept of corporate governance, puts forward the viewpoint of stakeholders co-governance, and they try to exert its positive role in practice.With26years of development, GOME Electrical Appliances Holding Ltd.(hereinafter referred to as GOME company) gradually become China’s largest home appliances and consumer electronic products retail national chain, has become a domestic and international numerous well-known home appliance manufacturers in China’s largest distributor. However, GOME company also suffered crises in the process of rapid development, especially in2008, founder HuangGuangyu, who went to jail on suspicion of economic crimes, and then Mr. Chen in charge of GOME, so he has adopted a series of measures to cope with the crisis. During the Chen era in GOME company, the relationship between the board of directors, management and shareholders quietly change, and conflicts also arise.Until2010, GOME company’s annual shareholder meeting sparked Huang Chen control, GOME company’s corporate governance problem has caused the domestic many scholars’and the media’s attention and study.This series of problems, suggest that the booming GOME company ignored the various demands of stakeholders at the same time. There is a big problem in corporate governance, so that the development of GOME exists hidden dangers. Therefore, based on the stakeholder theory of corporate governance and its application research, this article will do in-depth analysis of GOME company’s corporate governance problem, pointed out that the corporate governance problem, discuss the necessity and feasibility of stakeholders participate in corporate governance, in order to find the suitable healthy and rapid development way in which stakeholders participate in corporate governance for GOME company, and build stakeholder participation in GOME company governance mechanism.
