The last three decades of reform and opening up, the private-run corporate had become an important part of the national economy after gradually overcome the disadvantage of the weak foundation and congenitally deficient. It not only has brought unprecedented vigor for China’s economy but also actively promotes Chinese economic development in recent years. According this, it made a great contribution to creation and providing employment opportunities. In total speaking, developing from the early stages to the medium-term, the private-run corporate is becoming more rational, more scientific. However, it cannot be ignored that private-run corporate has some problems with corporate governance structure. The thesis analyze Sichuan New Hope Liu he Corporation, which is typical of the private-run corporate playing an important role in agriculture and animal husbandry in China.Through the analysis of the Corporation’s corporate governance structure of New Hope Liu He Corporation, the thesis learn about some of the problems with corporate governance institutions, including aspect of ownership structure, the corporate structure of the Board of Directors and senior management remuneration incentive mechanisms. Optimization measures were proposed to solve the problems existing in these aspects.These recommendations and opinions raised may be imperfect and still need further improvement. According the achievements, I hope it can give some reference to Liu He Corporation’s corporate governance structure and other private family business.
