The Study Of Certain Legal Issues Of Couple Companies

Since the reform and open policy, the couple companies as a force for prosperityand development of market economy, has been widespread in China’s market amongthe subjects. However, the controversy of the couple companies has never stopped.In this paper, through the analysis of typical cases, the personality of the couplecompanies, shares transfer, shares split of divorcing couple etc. were discussed. Inchapter one it shows the controversial part of the case, then, the other parts of thediscussion are basically around the controversial part of the case. In chapter two, itmainly discussed the legal personality of couple companies. The couples company’sdefine and the dispute on the nature of the couple companies of theorists weresummarized in this chapter too. At the last of this chapter it analyzed the relevantparts of the case. In chapter three, the problem of the share transfer in the couple’scompanies was discussed. It contents the equity transfer in the limited liabilitycompany, the particularity of share transfer of the couple companies, the forms ofshare transfer in couple companies, and the case-related part-the validity of the sharetransfer contract. In chapter four, it discussed the shareholding split of the divorce inthe couple companies. It contents the principles of equity split of the couplecompanies and the way of equity split of the couple companies.
