| Judicial dissolution of a corporation as a new remedy for shareholders emerges in the Corporation Law revised in2005. However, there is still a lack of study on this remedy and related cases. This article will focus on the applicable conditions of judicial dissolution via an investigation about the cases, analyze its operation and shortcomings.The article begins with two cases judged by two courts. Despite the similar details, the two cases led to different sentences. Then, the article makes a systematic observation on the cases about judicial dissolution of corporations which took place since2006.Based on the result, the article summarizes the potential rules and analyzes the characteristics of the operation. The article also introduces the theoretical basis of the institution, and discusses the feasible operation in our country nowadays. The article ends up with some concrete proposals for improvement. |
