The content of the paper is mainly about our country foundation’s internalgovernance structure and its basic legal theory. Author analyzes the actual trouble ofthe foundation. According to the theory of the foundation’s internal governancestructure, I tried to provide a consultation for our country’s foundation and itsdeveloping route.The concept of the foundation’s internal governance structure comes from thecompany governance structure. In the last twenty years, this theory has become thefocus of all people. We study key is the foundation power allocation science so thatwe ensure the legal and healthy operation. Foundation internal power allocation is thekey to deal with the council and board of supervisors and secretariat of therelationship. Our country and the world foundation development’s main problem istoo much power council, the board of supervisors are squeezed and the bridlechallenges. These problems become the foundation of the development of obstacles.This paper is divided into four parts. The purpose of this paper is to provide thereform direction for our country foundation internal governance structure. This paperfirst studied foundation the basic concept of the internal governance structure and thebasic legislative thought the countries all over the world about the foundation internalpower arrangements. Secondly I’ll analyze our country foundation structure of theinternal governance specific laws. To study the China’s foundation internalgovernance structure of legal environment, the purpose is to have a clear understandto our country. The author further analysis of China’s various cases of the event andfoundation, the mainly problem. Finally the healthy development of the foundationfor China put forward some Suggestions.There are three main problems in our country to foundation internal governancestructure:The council has too much right, the board of supervisor power is too smalland the foundation’s execution procedure is not science. The foundation’s council hastoo much power and its performance in the following aspects: The law has only small restrictive to the council; the council replace the executive to director the foundation’saffairs. The secretariat has weakening the council of its powers. Through theindependently execute foundation affairs, the secretariat could to increase the risk offoundation operation. The regulation of the law is not perfect to the board of thefoundation’s supervisor. Which make the board of supervisors in a week position,Complete the foundation’s internal governance structure becomes an inevitablechoice.
