With the development in depth of the market economy in China, the financial market along with a series of reforms has been being increasingly mature, entrusted loan business has been active in China’s financial market and has gradually become an important mean of financing and investment, also, it has become a modern society financial planning tool which should not be overlooked. However, because the external legal environment is not optimistic, which resulting in the operating mechanism of the entrusted loan produced a series of problems and contradictions in the judicial practice, mainly as follows:a substantial increase in the number of cases of entrusted loans, as the case is not the same verdict, trial inefficient, commissioned the loan contract deficiencies in the system is the "hotbed" these contradictions. Therefore, the entrusted loan contract system as the research object, the integrated use of the theory of law, sociology and Finance, focusing on the use of the method of comparative analysis, assisted by historical analysis, entrusted loans Unified Standards and entrusted the nature of the loan contract analyze the problem, the problem of identification of the entrusted Loan Contract creditors, as well as the rights and obligations between the parties and the obligation issues, focusing on analysis of the defects in our entrusted loan contract system and their perfect offer constructive ideas. I hope to improve and promote our entrusted loan contract system is moving in the positive direction, entrusted loan contract system for China’s legislative work to make a contribution to their ability to benefit the rapid and healthy development of China’s financial markets.
