Urban village is a special phenomenon in the process of the urbanization in our country. It not only takes up the space for city development, and cause more serious impact on the urban landscape environment and public security. Now the village transformation is the major trend. Cities have serious urban village problem have launched the urban village transformation activities. During this process, collective asset allocation after the transformation is the villagers’biggest concern. Distribution of demutualization of the village collective assets after the restructure is the core and crux of urban village transformation. It not only relates to the completion of urban village renovation, and related to the stability and harmony of the village after transformation.In order to complete the restructure and distribution of collective assets demutualization it, firstly, should identify the collective assets which can be included in the scope of demutualization. According to different types of operational assets and resources, it is essential to clarify the assets into two types by different sources and compositions. This paper would identify the range of operational assets with regard to demutualization restructure, and focus on the analysis of urban village collective enterprises assets and the collective land development of real estate. In order to find out whether the urban village collective land can be classified into the scope of demutualization restructuring issues, analysis from two aspects of theory and reality would be conducted. The writer thinks that village collective land should be brought into the scope of demutualization restructure. It not only conforms to the current rural construction land circulation experiment, and has its reality and rationality.By analyzing the transformation of the Urban Village Demutualization restructuring after the collective assets can be divided into the common practice of group and individual shares, Concluded that the current setup of defects, for concrete containing two types of equity set which the wide divergence of the collective assets and fuzzy standard brick. According to general principles of that individual shares can be assigned to people, has a person enjoys the benefits. While group shares may not be assigned to individuals, its earnings for the collective development. And the characteristics of different collective assets make it clear that different kind of collective assets specific kind of equity set type. So that the allocation of collective assets can be fairly and reasonable.Urban village population composition is complex, which adds to the difficulty of allocation equity. Therefore, it is important to know the particularity of different populations. It is essential to specialize the distribution scope and standard for different groups of people. In order to allocate the collective assets fairly and reasonably, urban village population can be divided into collective economy organization members of general city village and the special group. The latter group can be further divided. As for the groups in different situation, different distribution qualifications and standards can be adopted. Eventually, the demutualization of collective assets restructure after the equity allocation can be fulfilled.
