The floating charge system develop with the development of market economy, it’s born determined by its objective laws, especially in the development of western countries.It plays a very important role. With the continuous development of our socialist market economy, the demand for capital has increased a lot, especially, the majority of private enterprises, small and micro businesses, has always been caught in a shortage of funds and credit. In2007China promulgated the "property law", which embraced the floating charge system. However, as for floating charge development in China, the time is short, and there is also no specific enough legislative design, which lead to various kinds of difficulties during its implementation. But in recent years the floating charge system has attracted more and more academic attention, because this new property guarantee system helps a lot to promote the innovation, promotion and application of China’s financing method such as credit guarantee and project financing etc., From the real economy angle, the development of floating charge is constructive to the venture capital business and the private enterprises, small and micro businesses development.This paper will focus on the emergence and development of floating charge system, its concept, characteristics, advantages, limitations as well as the operation modes from multiple levels. In reference to foreign legislation and implementation, according to the specific conditions of our country, to give some suggestions for better development and contribution of floating charge in China.
