After the Cadbury Report released by the Britain in1992,every country in the world follows the trend to draw up principles of corporate governance.Principles of corporate governance play an important role in the reform and development of the governance structure of listed companies,what’s more,the reform and development of the governance structure determines the protection of the interests of shareholders of listed companies,and the division of functions of the shareholders’meeting and the board of directors and directors. In recent years,with the development of economic globalization,the foreign companies increasingly stressed public companies in the major legal relationship.The consensus of shareholders, directors, and management of the legal relationship.however,principles of corporate governance are important strategic activities affect the company’s by induction and summarize the details of corporate governance issues, and then to become normative guidelines.At present.Western countries had begun to research and study principles of corporate governance in different levels.This is of significance in both theory and practice.Currently, the governance structure of listed companies in China is imperfect,Therefore,Clarify the balance of powers, information disclosure, fair trade, social responsibility principle has an important theoretical and practical significance.Based on the principle of governance in China’s listed companies of this stage, analyzing the theoretical basis of the principles of governance of listed companies in China,and Indicating a number of shortcomings in the practice, study the principles of governance of listed companies of other countries,and comparing and learning from the listed companies in China,at last,put forward a sound governance principles recommended.The works are summarized as follows:At first,chapter1introduces the background and significance of research methods and ideas of the contents of this article.principles of corporate governance based on the various stakeholders in the coordination within the company and outside, and the research methods used and draw on a comprehensive comparison method, interdisciplinary research methods and normative research methods.Chapter2is the introduction which involves the theoretical analysis of principles of corporate governance;The part mainly introduces the principle the legal theory and philosophy theoretical basis of the separation of powers, the principle of transparency, the theoretical basis of the economics of the principles of social responsibility.Chapter3is the shortcomings of principles of corporate governance,including the lack of balanced consideration of the interests confrontation with the principle of separation of powers, not standardized information disclosure of listed companies, the audit system is not perfect, and social responsibility may not be implemented.While the Chapter4focuses on the comparative analysis of principles of corporate governance in different countries,including Britain and UK.Finally, the analysis and comparison of the provisions of the other countries on the principles of governance of the listed companies.At last,providing some constructive suggestions for the reform of China’s principles of corporate governance in the future.Mainly include the following three aspects of good governance recommendations, emphasized the validity of the separation of powers, weakening of state-owned listed companies "due to the dominance of the situation; improve the authenticity of information disclosure and norms to achieve a higher degree of the transparency of listed companies; implement the provisions of improving corporate social responsibility and conditions, and to explore the ways of corporate social responsibility to achieve the macro and micro perspective.
