The Analysis On Inheritance To Shareholder Qualification Of The Limited Liability Corporation

It is a major change in thecompany law of China, but there are still lots of blank space about the principle,specific rules of procedure and the Legal consequences of inheritance of shareholderqualification in Limited liability company, so in the actual case, there will be no legalbasis for them, and the judge should only can give the penalty by his discretion, thisis not good at maintain the economic order in our country.It should carry out therelevant research to improve the qualification of shareholder of limited liabilitycompany in China.This paper discusses the relevant problems of inheritance of shareholderqualification, and this paper is divided into four parts, The first part mainly expoundsthe concept and characteristics of the inheritance to shareholder qualification in China,discriminate the difference between the shareholder qualification and the relatedconcept of shareholder equity. The second part mainly for the theoretical research ofinheritance of shareholder qualification of limited liability company, discussesvarious viewpoints inherit the particularity of inheritance of the limited liabilitycompany form of shareholder qualification and the relevant shareholder qualificationand evaluation. The third part discusses foreign shareholder qualifications inheritancelaw, And from the article76of the company law and the law of inheritance ofshareholder qualification of our inheritance problems. The fourth part make a seriesof program design about the succession of shareholder qualification in China on thebasis of previous analysis.
