| In order to improve the dormant shareholders system and promote the building of oursocialist rule of law, this paper started from the concept and features of dormant shareholdersand described the legislative status of our dormant shareholders combining with relevantprovisions of dormant shareholders in interpretation of company law Ⅲ.Through accessingto a large amount of literature and using comparison method as well as comprehensiveanalysis, this paper described in detail the status of research on dormant shareholders systemby our scholars and pointed out many shortcomings of dormant shareholders system. Bystudying the superiority of foreign legislation and equity trust system, it pointed out thatChina should introduce equity trust system to improve our dormant shareholders system andpromote the development and improvement of our company law and trust law. |
