“Existence is reasonable.” As a basic principle of modern company system, principleof capital majority has its rationality, for example, it can encourage big shareholder’sinvestment enthusiasm, help the company to enhance the efficiency of decision making.However, every coin has its two sides, the principle of capital majority in practice isalienated because of the abuse of controlling shareholders, damaging the company and thevast minority shareholders’ rights and interests. Because of the special equity structure oflisted companies and the immature of our company system, this kind of phenomenon ismore prominent. minority shareholders’ rights and interests need urgent protection, thispaper tries to from the angle of capital majority to analysis the minority shareholders’rights and interests protection problems, hoping to help.This article is divided into three parts, according to the proposed problem, analysisproblem, problem-solving ideas for writing, The first part simply introduce the concept,development and reasonableness of the principle of capital majority, in order to insure thereader to have a simple and clear understanding of the principle of capital majority; thesecond part analyses the alienation reasons, manifestations and disadvantages of thecapital majority due to the the controlling shareholders’ abuse-ment, trying to find thebreakthrough to solve the problem; The third part focuses on the regulation on capitalmajority rely on legal basis to find a suit of legal countermeasures, and how to combinethe reality of our country to perfect our legislation to let the principle of capital majoritybetter service for the development of listed companies, so as to achieve the purpose ofprotection of rights and interests of companies and shareholders.
