As a type of financial innovation, the microfinance company evoked great enthusiasm among common Chinese people, especially after the issue of "the guidance of the microfinance company" in May2008. Many people explore with great passion in this field for many years to accomplish their dreams. In2012, the solution release of financial reform of Wenzhou, Guangdong and Quanzhou has brought opportunities and challenges to the microfinance company. But the microfinance company is still fresh new, we have not enough experiences and the regulations and laws are not perfect, we need to bring the lessons and experiences into laws and regulations and fix them down. Laws and regulations should be made to push more and more microfinance companies established in China.With the continuous development of society, increasingly change of the economic environment, small and medium enterprise survival issues concerned by more and more people, and small and financing difficulties of medium enterprise has been a worldwide difficult problem. In difficult economic times, small and medium enterprise loans very difficult, but the emergence and development of microfinance company seems to make small and medium enterprise see the hope, and theory analysis and research of microfinance in the theoretical circle has been very mature, but the research of the microfinance company was still in its infancy. Especially the microfinance company development in our country has just started, which exist many legal risks and unresolved issues, so it has practical significance for the legal system of the microfinance company.Based on the current development of the microfinance company in China, the paper mainly use the knowledge of law and combine the related theory of finance and economics, which take microfinance company as the research object, first introducing the concept of microfinance and microfinance company and its development present situation. And the paper expounds the nature and legal position of the microfinance company; Second, the second part mainly elaborate the regulation problems of the microfinance company in our country, which included the legal defects of the microfinance company, in operating problem as well as the problems existing in the supervision level about microfinance company; Finally, based on the analysis of existing problems of microfinance company, the third part of the paper put forward some suggestions to perfect legal system of microfinance company, which mainly included perfecting relevant legal system perfecting the operating mechanism and improving the regulatory system. The last part of paper is the conclusion of this article, which is a summary of the paper, and expressed my expectation to future development prospects of the microfinance company:in our country, the microfinance company will become a market oriented and perfect independent institution, which will play a bigger role in financial markets in China.
