The Real Bonus And Shareholder’s Right To Dividends

The company is the for-profit corporate entity, for-profit is the nature of thecompany. The company’s profit not only refers to the company’s own profit, but alsoincluding the allocation of profit to its members. Among the company’s profit impliesthe profit of shareholders. Shareholder’s right to dividends protects the realization ofshareholder’s profit, is the core of shareholder’s rights. The form of shareholder’sright to dividends include the cash dividend, the real bonus, bonus shares and so on.In the course of the2012annual report of listed companies released, due to a numberof listed companies proposed a " real bonus " scheme to reward shareholders, thiskind of dividends received widespread attention. This kind of dividend payment can’tbe found in the provisions of relevant laws and regulations. There are many problemsin practice.In this paper，I will discuss the significance of the real bonus to the realization ofshareholder’s right to dividends. Firstly, we must define the concept of the realbonus,analyze the scheme for the real bonus of Southern food, Quantum Tech, andHumanwell medicine and sum up the advantage and the disadvantage of the realbonus. Secondly,compare the real bonus with the cash dividend contrast, then discussthe significance of the real bonus to the realization of shareholder’s right to dividendson the basis of comparison. Finally, we should follow the principle of the real bonus,the scope, the substantial condition and the procedural condition, to discuss the legalregulation of the real bonus.I believe that the real bonus is a worth recommending dividend payment. Whenthe level of cash dividends is low, or the company can’t afford to cash dividends, thereal bonus can effectively protect shareholder’s right to dividends. The companyshould improve the level of cash dividends, while the real bonus as a necessarycomplement to cash dividends.The real bonus is a special dividend payment. I believe that there should be strictlegal regulations to the real bonus to protect the profit of shareholders.I hope that the strict legal regulation to the real bonus can protect the profit of shareholders and give full play to the significance of the real bonus to the realizationof shareholder’s right to dividends. The final goal is protecting the interest ofshareholders.
