Legal Issues Flaws Company

The company is the most important subject of socialist market economy in China.With the continuous development and improvement of market economy, the CompanyLaw of People’s Republic of China and other relevant laws and regulations are also anurgent need to be improved. Firstly, the meaning of Flaws Company is defined in thisarticle. Through the analysis of academic viewpoint, this article sums up characteristicsof Flaw Company as well as Flaw Company’s performance. Subsequently, the law ofFlaw Company between common law countries and civil law countries are analyzed andcompared in the article.In this paper, the provisions of the current law’s defects were analyzed. Bysummarizing the Company Law, relevant judicial interpretations and CompanyRegistration Regulations, we proposed a few questions about legislation of FlawCompany. Thus, how to learn from foreign companies flaws in the system and how toimprove our institutional flaws company on legislation, become another worthexploring question in this article.This article points out that China should clear suitable values of our country’sLegislation. The dispute is resolved by focusing on business efficiency, taking intoaccount the security of transactions and establishing full judicial process. Meanwhile,reasons and criteria of Flaws Company should be refined and expanded, and correctionsystem of the company’s legal qualifications should be improved and civil compensationsystem of the company responsible person should be established.
