Study On The Diversified Forms Of Capital Contribution In Our Shareholders

In recent years, with the development of society and economy, there have been a variety of special form in practice by means of. Although the form of the law does not clearly defined, but the company law revised in2005has conformed to the social and economic development, provides a more relaxed way of contribution, the2014amendments also further defined contribution system is more suitable for the legislative idea of society, further designed in line with the economic and social development system. So the intangible asset diversification should be reflected in the improvement of the legal system. But at present, China’s intangible assets investment system still exists some problems, development and reform of the legal system still lags behind the social reality. Therefore, we still need to improve from all aspects, follow the trend of the times. This paper is based on the reality of economic society, based on our current legal system of intangible assets investment company based in China, research on shareholder form under the trend of diversification those special contribution form related legal issues.This paper is divided into three chapters:The first chapter, said China’s main shareholders form some legislative provisions, and the problems in the form of company practice of the contribution by shareholders. By1993the "company law",2005"company law", in2014the new "company law" amendment shareholder’s capital contribution system, and in practice the shareholder’s capital contribution form analysis, reveals the attitude system in legislation and the problems existing in the practice of intangible assets.The second chapter, said China’s main shareholder of some special form under the trend of diversification, including the creditor’s rights investment, equity investment, labor service contribution, reputation capital, credit capital and some other special forms of investment. And analysis of the specific problems of these special contribution form, including the analysis of creditor’s rights investment properties, types, qualification, procedure and legal regulation, legal attribute and legal issues of equity contribution, rationality and the standard of labor service contribution, specific performance and effectiveness evaluation of human capital contribution, and reputation capital standard and pricing, the analysis and study of specific problems defined franchise rights and the problems in practice.The third chapter, said China’s main shareholders legislation form diversification, the advanced legislation experience and absorb foreign, to further expand the scope of capital contribution of shareholders form, allowing the legislation adding debt, equity, labor and human capital, reputation and credit, franchise and other special forms of capital contribution of the shareholders, and the special form the contribution of legislation and perfect.
