Modern society can be said to be the company’s society, the company is the mainform of economic organization in modern society, especially the sharp increase in thecompany and the spectacular rise of the transnational corporations have established thesocial status of the company. Director in the company’s effective management andlaw-abiding management plays an important role in the two aspects, the obligation ofdirector, responsibility and so on related issues are also increasingly prominent. Britainand the United States, Germany, France, Japan and other developed countries havealready realized that to establish the importance of perfecting the system of directors tothe third party liability, they all passed legislation skills change directors to the thirdperson responsibility system is established. In our country,27October2005the newlyrevised "securities law" reflects the director in the company law, on the responsibility ofa third person. Although our country "civil law","company law" in the system is notcomprehensive, but to believe that with the constant improvement of the legislation andpractice of summary continuously, our country will be tailored to the situation ofdirectors to the third person responsibility system.This article from the theoreticalfoundation of the directors of hard, director of obligation liability theory origin, throughcomparing the various countries’ legislation style, comprehensive comparing the prosand cons of national legislation, choose suitable for our country’s legislation mode, andrefine the components of the director responsibility in this mode, shall be investigatedand relief form, in order to build system of directors to the third person of the future is acomplex project may render their own legislation.
