With China’s sustained economic development, more and more foreign investors havestrong interests in Chinese enterprises, and they want to share the fruits of development ofChinese economy. The world’s major exchanges hope to attract Chinese enterprises to liston their exchanges. At the same time, more and more Chinese enterprises choose to goabroad and list on foreign markets, such as Hong Kong, New York, London and Singapore.China’s Security Regulatory Commission is also actively collaborating with the world’smajor exchanges to pave the way for Chinese companies listing on foreign exchanges. Thispaper studies the motivations, strengths and current situation of Chinese SMEs to listoverseas, compares the Chinese stock market with the American stock market, andanalyses why and how, effectiveness and problems of Chinese SMEs listing overseas.Then gives strategy and proposed adjustments to those who are ready to list in the U.S.This paper provides theoretical basis and operational recommendations with usefulpractical significance.This paper studies the following contents:The first part introduces the research background, literature review, researchsignificance and innovation, and research framework. The second part compares theChinese security market with the American security market. The third part introduces thereasons and methods of the Chinese SMEs to list on United States stock market. Thereasons have five aspects and the methods have four aspects. The fourth part introduces theresearch on effectiveness and problems of Chinese SMEs listing on American stock market,and the problems includes breaching the information disclosure obligations and facing acrisis of confidence. The fifth section presents the strategies and proposed adjustments forChinese SMEs to list in the United States, and in addition to the introduction of US-listedprocesses, it also covers the listing process of the key links and attention points, includingthe IPO preparation, choice of market, method of listing, strategic adjustment proposals and proposals for changing the current situation of the information disclosure. The sixthpart is the study conclusion, for domestic SMEs, the United States market is still a goodchoice, financing in the United States is very fast, and can also solve the bottleneckproblem of funds of listed companies. Compared to the domestic, the U.S. preliminaryverification link is looser, and the post-market regulation and supervision of investors aremore stringent.
