Since the20th century, scholars have always focused on modern corporate social responsibility (CSR). Although the study of CSR started late in China, but its importance has been strengthened continuously. On the basis of previous studies, this paper studies the effect of corporate governance on CSR of China Commercial Banks. In this paper, firstly, we collected the relevant data about corporate governance and CSR of commercial banks, secondly relevant assumptions was put forward, thirdly we analyzed how did the corporate governance factors affect CSR with regression analysis, finally suggestions was put forward to improve the quality of CSR of China commercial banks according to the regression results.This article was divided into five chapters; the structure is listed as follow. The first chapter was the introduction. This chapter simply introduced background and significance of this research, reviewed the domestic and foreign research literature, and finally illustrated the methods and ideas. The second chapter was about theories of the CSR and corporate governance. This chapter defined the concept of CSR and corporate governance and introduced the corresponding theories. The third chapter is summary of CSR and corporate governance of commercial banks. It introduced the present situation of commercial bank CSR in china and stated the CSR of commercial Banks from five aspects which is the shareholders, employees, customers, community and country; at the same time, combining with the particularity of commercial Banks, the corporate governance of commercial Banks was analyzed. The fourth chapter was the empirical analysis, which is a key part of the full text. Based on the above theory analysis, first, we put forward research hypothesis and set variables; and then selected the sample data and built model; finally obtained how did the internal corporate governance’s impact on CSR with empirical analysis. The fifth chapter was the conclusion and suggestions. This chapter summarized the research conclusion of this article, and put forward policy suggestions. The empirical results indicated that corporate governance is an important factor affecting on Commercial Banks CSR,(1) the proportion of state-owned shares is negatively correlated with CSR;(2) The shareholding ratio of first major shareholder and CSR showed a significant negative correlations;(3) the board size has significant negative correlation with CSR;(4) the proportion of independent directors is positively correlated with CSR;(5) the board of supervisors has a positive effect on CSR;(6) Executive pay has significant positive correlation with CSR.
