Accompanied by economic globalization, national economies increasinglyinterdepend with each other, at the same time competition is becoming more andmore fierce, many companies have to go abroad to seek overseas development. Sixthglobal cross-border has quietly come; currently, appreciation of RMB has broughtunprecedented opportunities for cross-border M&A, in the early2000s cross-borderM&A had accounted all foreign direct investment at high eighty-seven percent.cross-border M&A count for much in the enterprise development, take this new pathwell is crucial for domestic enterprises.From1893, the global wave of overseas mergers and acquisitions began,cross-border M&A has over a hundred years of history. There are many classic case ofcross-border mergers and acquisitions, mergers and acquisitions in the first fivefundamental almost change with the economic development of capitalism economic,concentrated in the capitalist countries. Research also focused in Western countries,gradually developed, a number of important factors that affect cross-border mergersand acquisitions draw from these theories, it is very helpful to the successful n ofWestern companies.However, cross-border mergers and acquisitions in China is not very long, thefirst five global mergers and acquisitions wave, China only lightly participated,although there are some success cases, but often faces culture conflict,mismanagement and other problems in the later integration, the experience andtheories of domestic enterprises are still inadequate. Some Chinese companies evenmore frustrated in overseas mergers and acquisitions, CNOOC, Chalco, TCL gaveenterprises trying to go abroad a deep alert. Faced with the sixth wave, how torespond and how to properly grasp this opportunity, how to learn from foreignexperience in mergers and acquisitions combined with our own characteristics thengetting victory in mergers and acquisitions, scholars and Chinese enterprises worthpondering. Currently cross-border mergers and acquisitions influence factors analysis indomestic are mostly established on the basis of empirical data analysis, however, dueto various reasons, the data often deviate from the actual situation, to a certain extent,research can not reflect the true results. Therefore, this paper summarizes the foreignmergers and acquisitions theory of foreign direct investment, then combine withtypical cases in two aspects of the success and failure, use case comparative analysis,really from the actual situation of Chinese enterprises, analyze factors remarkablelyaffect the merger of Chinese enterprises, and the corresponding countermeasures andsuggestions in order to provide a reference of corporate mergers and acquisitions tothe future merger.This paper is divided into seven sections. The first chapter is introduction, thesecond chapter is the history of the merger status, the third chapter is the theoreticalbasis of this article, the fourth chapter is a literature review of related factors, the fifthchapter is an important part, the case analysis section of this article, Chapter six iscountermeasures.
